1. Acceptance of Terms

Welcome to BeanCounter, a web-based coffee roasting management platform.

These Terms of Service ("Terms") govern your access to and use of the BeanCounter website, applications, and related services (collectively, the "Service").

By creating an account or using BeanCounter, you agree to these Terms. If you do not agree, you must discontinue use of the Service.

2. Description of Service

BeanCounter provides tools intended to assist coffee roasting businesses and individuals with:

• Green coffee inventory management
• Coffee roasting and production records
• Pricing and cost calculations
• Coffee blend calculations
• Coffee commodity market information
• Business documents and operational organization
• Related coffee business management functions

We may add, modify, or discontinue features as the platform develops.

3. User Accounts

Certain features may require an account.

You agree to provide accurate registration information, safeguard your account access, and take responsibility for activities conducted through your account.

You must notify us promptly if you suspect unauthorized access or a security breach.

We reserve the right to restrict or suspend access to accounts involved in unlawful activity, misuse, or violations of these Terms.

4. Acceptable Use

You agree not to:

• Use BeanCounter for illegal or fraudulent purposes
• Attempt to gain unauthorized access to accounts, systems, or data
• Interfere with the platform's security or operation
• Upload malicious software or harmful content
• Use automated means to overload or disrupt the Service
• Access or disclose another user's confidential information without authorization
• Reverse engineer or exploit the Service except where permitted by applicable law

5. Ownership of User Data

You retain ownership of the inventory records, roasting information, pricing data, documents, and other original business content that you submit to BeanCounter.

By submitting content, you grant BeanCounter a limited, non-exclusive license to host, store, process, reproduce, and display that content solely as reasonably necessary to operate and provide the Service.

This license ends when the applicable content is deleted, subject to reasonable backup retention and legal requirements.

BeanCounter does not obtain ownership of your underlying business records.

6. Platform Intellectual Property

BeanCounter's software, interface designs, branding, original content, and associated intellectual property belong to BeanCounter or its respective licensors.

You may use the platform for its intended purposes but may not reproduce, redistribute, or commercially exploit its proprietary components without permission, except as allowed by applicable law.

7. Inventory and Pricing Calculations

BeanCounter provides organizational and calculation tools to support coffee business decisions.

Inventory quantities, landed costs, pricing estimates, roast yields, blend calculations, and related results depend on the accuracy of information entered by users and the applicable calculation methods.

BeanCounter does not guarantee that calculations will be error-free or suitable for every business situation.

Users are responsible for verifying calculations, maintaining accurate records, and making independent business decisions.

8. Coffee Market Information

Coffee commodity prices, market charts, historical information, and news displayed through BeanCounter are provided for informational purposes only.

Market data may be delayed, incomplete, inaccurate, or subject to correction.

BeanCounter does not provide investment, financial, commodity trading, or purchasing advice.

Users should independently verify market information before making purchasing, trading, or financial decisions.

9. Availability and Modifications

BeanCounter relies on Cloudflare for application hosting and public-data caching, Supabase for authentication sessions, PostgreSQL workspace records and private document storage, and Google for sign-in. Access and persistence depend on these services, your account access, and network availability. Data is associated with your authenticated account; changing accounts does not automatically transfer your records.

The Service may experience outages, failed saves, software errors, corruption, mistaken overwrites or deletions, or loss of access. We do not guarantee uninterrupted operation, permanent storage, successful recovery, or a particular backup or recovery schedule. We may modify, suspend, or discontinue features or operations when reasonably necessary.

Use BeanCounter at your own risk, to the maximum extent permitted by applicable law. You are responsible for maintaining accurate records and independent backups. Download a full profile backup from Settings → Profile backup & recovery regularly, after significant updates, and before imports, restores, deletions, or major corrections. Confirm exports complete, retain original documents, and keep secure dated copies outside the Service. Autosave, synchronization, and PDF reports do not replace a restorable full profile backup. A backup cannot include changes that were never successfully saved or files that could not be downloaded.

10. Third-Party Services

BeanCounter may integrate with third-party services, including authentication providers, hosting infrastructure, market data providers, or external websites.

Third-party services may have separate terms and privacy policies.

We are not responsible for third-party services beyond the extent required by applicable law.

11. Payments and Future Paid Services

Some features may be offered without charge, while additional paid features or subscription plans may be introduced.

Any paid services will be accompanied by applicable pricing, payment terms, and billing disclosures before purchase.

We will not impose subscription charges without the user's authorization.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, BeanCounter is provided on an “as is” and “as available” basis, and your use of the Service and reliance on its outputs are at your own risk.

We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law. We do not warrant that calculations or external information are accurate, that saves or backups will always succeed, or that records and documents will remain available, intact, or recoverable.

BeanCounter is not an archival or guaranteed backup service. You should not keep your only copy of essential business records here. Nothing in these Terms excludes warranties or protections that cannot lawfully be excluded.

13. Limitation of Liability

To the maximum extent permitted by applicable law, BeanCounter and its operator, Zach Swan, disclaim responsibility and liability for loss, corruption, deletion, overwriting, or unavailability of data or documents, failed saves or restores, and inability to recover records, whether arising from use of the Service, user actions, software failures, security incidents, or third-party service interruptions.

To the maximum extent permitted by applicable law, BeanCounter and its operator will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, lost records, or costs of reconstructing data. You are responsible for maintaining independent backups and verifying business-critical information.

Nothing in these Terms excludes or limits liability, consumer rights, or other obligations that cannot legally be excluded or limited. These provisions do not guarantee immunity from claims.

14. Account Termination

You may discontinue using BeanCounter at any time.

You may request account deletion through the contact information provided below.

We may suspend or terminate access when reasonably necessary to address security concerns, unlawful conduct, or material violations of these Terms.

Data associated with terminated accounts will be handled in accordance with our Privacy Policy and applicable legal requirements.

15. Changes to These Terms

We may revise these Terms to reflect changes to our Service, business practices, or legal obligations.

Updated Terms will be published on this page with a revised effective date.

Where required by applicable law, we will provide notice or obtain consent before material changes take effect.

16. Governing Law

These Terms are governed by the applicable laws of the State of Alabama, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws provide otherwise.
